Article 1. Applicability of these terms and conditions <\/h2>\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t

1.1 These general terms and conditions apply to all activities and offers of Altura Gear B.V. and to all agreements entered into with Altura Gear B.V. Altura Gear B.V. is a trade name of Riswick Holding B.V. 1.2 In addition to these general terms and conditions, supplementary conditions may apply to specific types of products or transactions, if explicitly indicated. Should there be any differences between the supplementary conditions and the general terms and conditions, the provisions of the supplementary conditions shall, in principle, take precedence over the general terms and conditions, unless otherwise specified.
1.3 Deviation from the general terms and conditions is only possible after a written request has been submitted and written confirmation has been received from Altura Gear B.V. In this case, the remaining provisions of the general terms and conditions remain fully in effect.
1.4 By using Altura Gear B.V.’s website(s) and\/or placing an order, the customer accepts these general terms and conditions.
1.5 General terms and conditions used by the customer do not apply unless explicitly agreed to in writing by Altura Gear B.V. If the customer has once concluded a contract with Altura Gear B.V. based on these general terms and conditions, these general terms and conditions are assumed to also apply tacitly to any subsequent orders or agreements to be concluded, whether communicated verbally, in writing, by fax or electronically.
1.6 ‘Customer’ refers to: any natural person or legal entity, or their legal successor(s), who has or will have a contractual relationship of any nature with Altura Gear B.V.
1.7 Altura Gear B.V. reserves the right to modify or supplement the general terms and conditions from time to time. <\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t

Article 2. Quotation, offer and formation of the agreement \n<\/h2>\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t

2.1 Offers or price quotes should be considered as an invitation to customers to make a purchase. Altura Gear B.V. is not bound by these in any way, unless this has been established in writing and unambiguously. If the customer wishes to accept the invitation to make a purchase, this will only lead to the formation of an agreement if the other provisions in this article are met.
2.2 Offers and special rates are valid while stocks last.
2.3 A personalized quote is valid for two weeks, unless another term is stated in the quote.
2.4 A purchase by the customer as mentioned in Article 2.1 is deemed to have been made in one of the following circumstances:
a. the potential customer has entered the data on the designated entry form of the website and the completed order form has been sent electronically to Altura Gear B.V. and has been received by Altura Gear B.V.
b. the potential customer has explicitly indicated by telephone, fax or email that they wish to purchase a specific product.
c. the potential customer has explicitly indicated during their visit to Altura Gear B.V. that they wish to purchase a specific product.
d. Altura Gear B.V. has issued a personalized quote\/offer which has been confirmed or signed by the customer and returned to Altura Gear B.V.
2.5 An agreement is formed when Altura Gear B.V. has begun executing the order, or if this has not yet started, when an order confirmation has been handed to the customer or sent by email to the email address provided by the customer. Altura Gear B.V. has the right to revoke or enter into an agreement without giving reasons or solely under the condition that shipment occurs after advance payment. If this payment condition is not clearly stated in writing or verbally to the customer when entering into the purchase, Altura Gear B.V. will inform the customer of this within ten days after receiving the order.
2.6 The customer and Altura Gear B.V. explicitly agree that by using electronic forms of communication, a valid agreement is formed once the conditions in Article 2.4 and 2.5 are met. Particularly the absence of a regular
signature does not affect the binding nature of the offer and its acceptance. The electronic files of Altura Gear B.V. serve, to the extent permitted by law, as presumptive evidence.
2.7 Information, images, verbal communications, statements regarding functionalities, prices, weights, dimensions, colors, etc. regarding all products and offers provided by telephone, email or internet are presented or made as accurately as possible. However, Altura Gear B.V. does not guarantee that all offers and products fully comply with the given information. Deviations cannot, in principle, be cause for compensation and\/or dissolution. <\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t

Article 3. Prices <\/h2>\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t

3.1 All prices on Altura Gear B.V.’s websites are expressed in euros, in accordance with legal requirements, and are exclusive of VAT (unless stated otherwise) and exclusive of shipping costs, any COD charges and any disposal fee and\/or levies.
3.2 The customer owes the price that Altura Gear B.V. has communicated to the customer in its order confirmation according to Article 2.5 of the general terms and conditions. Obvious errors in the price quote, such as evident inaccuracies, can be corrected by Altura Gear B.V. even after the formation of the agreement.
3.3 If the prices for the offered products and services increase in the period between the order and its execution, the customer can cancel the order or terminate the agreement within ten days after notification of the price increase by Altura Gear B.V.
3.4 Delivery costs are not included in the product prices but are calculated separately. Special rates apply for delivery outside the Netherlands. Certain payment methods are subject to additional conditions regarding the delivery method and associated costs. This will be clearly communicated to the customer. <\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t

Article 4. Payment <\/h2>\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t

4.1 The ownership of the ordered products remains with Altura Gear B.V. until full payment has been made and received by Altura Gear B.V., including compensation for all costs and interest, also from earlier and later deliveries and services rendered, as well as damage claims due to failure to fulfill obligations. Only then does the ownership transfer to the customer.
4.2 Payment can be made in the following ways: <\/p>

  1. advance payment;<\/li>
  2. by direct debit;<\/li>
  3. on account, but only if agreed upon in writing in advance.<\/li><\/ol>

    4.3 In case of non-payment or late payment by the customer, interest of 1.5% per month is due from the day payment should have been made at the latest until the day of full settlement, whereby a partial month is counted as a full month.
    4.4 In case Altura Gear B.V. has agreed to a payment term, the customer is in default by the mere expiration of this term without Altura Gear B.V. having received payment. Payment terms can only be agreed upon in writing under conditions to be set and agreed upon at that time.
    4.5 In case of late payment, Altura Gear B.V. is entitled to terminate the agreement with immediate effect or suspend (further) delivery until the moment the customer has fully met the payment obligations, including payment of due interest and costs. <\/p>

    4.6 Altura Gear B.V. reserves the right to transfer the claim to a bailiff’s or collection agency.
    4.7 All (extra-)judicial costs of whatever nature that Altura Gear B.V. has had to incur as a result of the customer’s failure to meet their (payment) obligations shall be borne by the customer.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t

    Article 5. Delivery and delivery time \n<\/h2>\t\t\t\t<\/div>\n\t\t\t\t
    \n\t\t\t\t\t\t\t\t\t

    5.1 After electronically placing an order via Altura Gear B.V.’s website(s), the customer will receive an order confirmation by email within 24 hours if possible, containing an overview of the relevant customer and order details, including the ordered products, prices, delivery address, selected delivery method and shipping costs.
    5.2 Delivery times are determined after receipt and processing of an order, whereby Altura Gear B.V. strives to inform the customer of this as soon as possible. A delivery time communicated by Altura Gear B.V. serves only as an indication, therefore no rights can be derived from it. For orders that are delivered upon advance payment, a maximum delivery period of 30 days applies after receipt of payment.
    5.3 For delivery times longer than four weeks, the customer has the right to cancel the order. After the fourth week, Altura Gear B.V. will contact the customer about this.
    5.4 If a product that is not in stock is ordered by a customer, it will be indicated when the product is likely to be available. It is possible that products shown as available or in stock on Altura Gear B.V.’s websites may not actually be available or in stock. No rights can be derived from this.
    5.5 Deliveries take place at the delivery address provided by the customer during the formation of the agreement.
    5.6 As soon as the products to be delivered have been delivered to the specified delivery address, the risk regarding these products transfers to the customer. Altura Gear B.V. accepts no liability for damage or loss of products during the shipping process.
    5.7 Exceeding a delivery time can never lead to compensation from Altura Gear B.V.
    5.8 Different conditions may apply to deliveries abroad.
    5.9 Altura Gear B.V. reserves the right to deliver and invoice ordered items in partial shipments. <\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t

    Article 6. Catalogs, brochures, printed materials, price lists, website(s) <\/h2>\t\t\t\t<\/div>\n\t\t\t\t

    The content of catalogs, brochures, printed materials, price lists, websites and similar materials is compiled by Altura Gear B.V. with great care, but contains only general information that does not bind Altura Gear B.V. and cannot be relied upon unconditionally.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t

    Article 7. Provision of information by customers <\/h2>\t\t\t\t<\/div>\n\t\t\t\t
    \n\t\t\t\t\t\t\t\t\t

    Altura Gear B.V. is entitled to not execute, not continue to execute, or not execute (anymore) under the same conditions an agreement if it appears that information provided by the customer that is important for the execution of the agreement is not correct and\/or not complete. Altura Gear B.V. can then claim compensation for efforts made and costs incurred up to that point and is not obligated to pay any amount to the customer. <\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t

    Article 8. Defects, complaint periods <\/h2>\t\t\t\t<\/div>\n\t\t\t\t
    \n\t\t\t\t\t\t\t\t\t

    8.1 The customer must inspect the purchased items upon delivery \u2013 or as soon as possible thereafter \u2013 under penalty of automatic forfeiture of their rights. The customer must verify whether the delivered items meet the agreement. Among other things, the customer must check whether:
    a. the correct items have been delivered;
    b. the delivered items match the agreed quantity;
    c. the delivered items meet the agreed quality requirements or \u2013 if these are lacking \u2013 the requirements that may be set for normal use and\/or trading purposes.
    8.2 If visible defects or shortages are found, the customer must report these to Altura Gear B.V. in writing within five days after delivery.
    8.3 Non-visible defects must be reported by the customer to Altura Gear B.V. in writing within eight days after discovery, up to a maximum of 12 months after delivery.
    8.4 Even if the customer complains in time, their obligation to pay for and accept orders remains, and the customer is not entitled to compensation. Items can only be returned after prior written permission from Altura Gear B.V.
    8.5 Altura Gear B.V. is never obligated to take back delivered items. If, contrary to the above, Altura Gear B.V. agrees to take back delivered items, any costs incurred by Altura Gear B.V. because the customer sends goods unpaid, improperly packaged or incorrectly addressed to Altura Gear B.V. will be charged to the customer. <\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t

    Article 9. Warranty and liability provisions <\/h2>\t\t\t\t<\/div>\n\t\t\t\t
    \n\t\t\t\t\t\t\t\t\t

    9.1 For products delivered by Altura Gear B.V., only the warranty as established by the manufacturer of the respective product applies. During this period, Altura Gear B.V. only serves as a service point.
    9.2 If the product shows a design, material or manufacturing defect within the warranty period, the customer is entitled to repair or replacement of the product. The customer must always contact Altura Gear B.V. first to verify the defect before returning the product. The return costs of the defective product are at the customer’s expense.
    9.3 Altura Gear B.V. is never obligated to pay any compensation to the customer or others, unless there is intent or gross negligence on the part of Altura Gear B.V. Altura Gear B.V. is never liable for consequential or business damage, indirect damage and loss of profit or turnover.
    9.4 If Altura Gear B.V., for whatever reason, is obligated to compensate any damage, the compensation will never exceed an amount equal to the invoice value of the product that caused the damage.
    9.5 The warranty does not apply if damage is the result of incorrect handling by the customer or when the customer has acted in violation of the (usage) instructions.
    No warranty is given on warranty and the above warranty constitutes the only obligation for Altura Gear B.V.
    9.6 The customer is obligated to indemnify Altura Gear B.V. against any claim that third parties might make against Altura Gear B.V. in connection with the execution of the agreement, insofar as the law does not prevent the relevant damage and costs from being at the customer’s expense.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t

    Article 10. Force Majeure <\/h2>\t\t\t\t<\/div>\n\t\t\t\t
    \n\t\t\t\t\t\t\t\t\t

    10.1 In case of force majeure, Altura Gear B.V. is not obligated to fulfill its obligations towards the customer, or the obligation is suspended for the duration of the force majeure. If the suspension period lasts longer than thirty days, both parties are authorized to dissolve the agreement in whole or in part, without any obligation for compensation arising in that case.
    10.2 Force majeure means any circumstance independent of its will, which prevents the fulfillment of its obligations towards the customer in whole or in part. These circumstances include but are not limited to: strikes; fire; business disruptions; energy disruptions; disruptions in a (telecommunications) network or connection or communication systems used; transport difficulties or obstacles of any nature whereby transport to Altura Gear B.V. or from Altura Gear B.V. to the customer is hindered or impeded; the absence of any government permit to be obtained. <\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t

    Article 11. Intellectual Property Rights <\/h2>\t\t\t\t<\/div>\n\t\t\t\t
    \n\t\t\t\t\t\t\t\t\t

    11.1 The customer explicitly acknowledges that all intellectual property rights of displayed information, images, communications or other expressions regarding the products and\/or website(s) rest with Altura Gear B.V., its suppliers or other rights holders.
    11.2 Intellectual property rights means: patent rights, copyrights, trademark rights, design rights and\/or other (intellectual property) rights, including patentable or non-patentable technical and\/or commercial know-how, methods and concepts.
    11.3 The customer is prohibited from using or making changes to the intellectual property rights as described in this article, such as reproduction, without explicit prior written permission from Altura Gear B.V., its suppliers or other rights holders, unless it solely concerns private use in relation to the
    product itself. <\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t

    Article 12. Registration and Use of Personal Data <\/h2>\t\t\t\t<\/div>\n\t\t\t\t
    \n\t\t\t\t\t\t\t\t\t

    12.1 Altura Gear B.V. will only use the customer’s data to establish an agreement and to make offers from its side. The data will under no circumstances be provided to third parties.
    12.2 The customer can request, modify and\/or view the data provided to Altura Gear B.V. at any time.
    12.3 The registration of personal data is not secured by encryption of the data through SSL encryption.
    12.4 Altura Gear B.V. observes the applicable privacy rules and legislation. <\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t

    Article 13. Applicable Law and Competent Court <\/h2>\t\t\t\t<\/div>\n\t\t\t\t

    13.1 All offers and agreements are exclusively governed by Dutch law.
    13.2 Altura Gear B.V. expressly excludes the provisions of the Vienna Sales Convention, insofar as applicable.
    13.3 All disputes related to or arising from offers by Altura Gear B.V. or agreements concluded with Altura Gear B.V. shall be submitted to the competent court in Leeuwarden, unless the law explicitly designates another court as competent.<\/p>
